These Terms should be read together with any proposal, quotation, statement of work or project specification issued by BettaSites.
1. Our Services
BettaSites provides digital services including, but not limited to:
- website design and development;
- software and web application development;
- technical consultancy;
- third-party system and API integration;
- website migration;
- search optimisation and associated technical services;
- analytics and search platform implementation;
- digital design and branding;
- maintenance and support;
- content implementation;
- training and consultancy; and
- other digital services agreed with the client.
The precise services and deliverables for each project will be set out in the relevant proposal, quotation or statement of work.
2. Formation of the Contract
A contract is formed when the client accepts a BettaSites quotation, proposal or statement of work, whether by signature, written confirmation, email acceptance, payment of the initial invoice or another method expressly agreed between the parties.
The project-specific proposal or quotation and these Terms together form the contract.
If there is any conflict between these Terms and an expressly agreed project-specific term, the project-specific term will take precedence.
3. Project Scope
BettaSites will provide the services and deliverables described in the agreed project documentation.
Work that falls outside the agreed scope may be treated as additional work and quoted separately.
Where a client requests additional functionality, revisions, integrations or other work beyond the agreed scope, BettaSites will notify the client of any additional charges before undertaking material additional work.
Minor amendments reasonably necessary to complete the agreed scope will not normally be treated as additional work.
4. Client Responsibilities
The client agrees to provide BettaSites with the information, materials, access, approvals and decisions reasonably required to complete the project.
This may include:
- logos and brand assets;
- photographs and video;
- written content;
- product information;
- account or platform access;
- domain or hosting information;
- technical documentation;
- feedback and approvals; and
- access to relevant third-party providers.
The client is responsible for ensuring that materials supplied to BettaSites may lawfully be used for the project and do not infringe another party's intellectual property or other rights.
BettaSites is not responsible for delays caused by missing information, delayed approvals, third-party providers or matters outside our reasonable control.
5. Project Timescales
Any project timetable is based on the information available when the quotation or proposal is prepared.
Unless expressly stated otherwise, target dates are estimates rather than guarantees.
Where a project is delayed because the client does not provide required information, feedback, access or approval within a reasonable period, BettaSites may adjust the project timetable accordingly.
If a project remains inactive because of the client for more than 30 days, BettaSites may place the project on hold and reschedule it according to current availability.
6. Fees and Payment
Unless another payment schedule is stated in the project proposal or quotation, project fees will normally be invoiced as follows:
40% on commencement
Payable before project work begins and used to secure the project in the BettaSites schedule.
40% at design/development approval
Payable when the principal design and/or development stage has been completed and approved.
20% on completion
Payable when the agreed project deliverables are complete and before final handover or launch, unless otherwise agreed in writing.
The initial payment forms part of the total project fee and is not an additional charge.
Invoices are payable within the period shown on the invoice.
BettaSites may suspend work or withhold launch, deployment, transfer of files, credentials or intellectual property documentation while an invoice relating to the project remains overdue.
For business-to-business contracts, BettaSites reserves the right to charge statutory interest and applicable recovery costs on overdue payments in accordance with the Late Payment of Commercial Debts legislation.
7. Cancellation
If the client cancels a project after work has commenced, the client will remain responsible for:
- work completed up to the cancellation date;
- committed third-party costs;
- licences or services purchased specifically for the project; and
- any other non-cancellable project expenses.
Any amount already paid will be credited against those sums.
Where work completed and committed costs exceed the amount already paid, BettaSites may issue a final invoice for the balance.
BettaSites may terminate a project where the client commits a serious breach of the contract and fails to remedy that breach within a reasonable period after being notified.
8. Changes and Revisions
The project proposal may specify an included number or reasonable level of design revisions.
Requests that materially change the original brief, approved design, functionality or project scope may be quoted as additional work.
Where substantial work has already been approved and the client subsequently asks BettaSites to redesign or rebuild it, this may also incur additional charges.
9. Third-Party Products and Services
Projects may use third-party services including hosting providers, domain registrars, WordPress, Shopify, software libraries, APIs, plugins, fonts, stock assets, analytics services, payment platforms and other external systems.
Third-party services remain subject to their own terms, licensing conditions, availability and charges.
Unless expressly stated in the quotation, ongoing third-party charges are not included in the BettaSites project fee.
BettaSites cannot guarantee the continuing availability, compatibility, performance or pricing of a third-party service that we do not control.
10. Intellectual Property During Development
Until all sums due for the relevant project have been paid, ownership of intellectual property created by BettaSites for the project remains with David Savage trading as BettaSites unless otherwise expressly agreed.
The client may review and evaluate work produced during development for the purposes of the project.
11. Intellectual Property Handover
Following:
- completion of the agreed project;
- payment in full of all sums due for that project; and
- signature of the applicable Intellectual Property Transfer Agreement,
BettaSites will assign to the client the intellectual property rights owned by BettaSites in the final bespoke deliverables identified in that agreement.
This is intended to give the client ownership of the bespoke work created specifically for them.
The transfer does not include intellectual property that BettaSites does not own or that was not created specifically for the project.
12. Pre-existing and Third-Party Intellectual Property
The transfer of intellectual property does not include:
- third-party software;
- open-source software;
- plugins;
- software libraries or frameworks;
- platform technology;
- stock photography, video, audio or graphics;
- fonts;
- third-party templates;
- third-party APIs;
- software or materials licensed rather than owned by BettaSites;
- pre-existing BettaSites tools, utilities, methodologies, components, know-how or reusable code; or
- intellectual property supplied by the client.
These items remain subject to their existing ownership and licensing arrangements.
Where pre-existing BettaSites materials are incorporated into a final deliverable and are required for the client's continued use of that deliverable, BettaSites grants the client a perpetual, non-exclusive licence to use those materials as part of the completed project unless otherwise agreed.
13. Client Materials
Intellectual property supplied by the client remains the property of the client or its respective owner.
The client grants BettaSites permission to use those materials to the extent reasonably required to perform the project.
14. Portfolio and Promotional Use
Unless confidentiality requirements or a separate written agreement prevent it, BettaSites may identify the client as a client and display publicly available elements of completed work in its portfolio, website, presentations, case studies and business development materials.
BettaSites will not publish confidential information belonging to the client.
A client may request in writing that a confidential or unreleased project is excluded from promotional use.
15. Confidentiality
Each party agrees to keep confidential information received from the other party confidential and to use it only for the purposes for which it was disclosed.
This obligation does not apply to information that:
- is already lawfully public;
- was lawfully known to the receiving party before disclosure;
- is received lawfully from a third party without confidentiality restrictions; or
- must be disclosed by law.
16. Data Protection
Each party is responsible for complying with applicable data protection law in relation to personal information it controls.
Where BettaSites processes personal data solely on the client's behalf, additional data processing provisions may be agreed where required.
The client's website privacy notices, cookie notices, policies and legal compliance remain the client's responsibility unless BettaSites has expressly agreed to prepare them as part of the project.
17. Website Testing and Browser Compatibility
BettaSites will take reasonable steps to test websites and digital products on appropriate modern browsers and devices.
Because browsers, devices, operating systems, third-party services and web standards continually change, BettaSites cannot guarantee identical operation or appearance across every possible device, platform or future software version.
18. Search Performance
Where BettaSites provides SEO, AEO, GEO or related search services, we will apply the services and techniques described in the agreed scope.
Search engines and AI-based discovery platforms are controlled by third parties.
BettaSites therefore cannot guarantee a particular ranking, traffic level, enquiry volume, search result, AI citation or commercial outcome.
19. Backups, Hosting and Security
Responsibilities for hosting, backups, software updates, security monitoring and maintenance will depend on the services included in the client's agreement.
Unless ongoing maintenance or hosting has been expressly included, responsibility for the website or system after handover rests with the client.
No internet-connected system can be guaranteed to be completely secure or continuously available.
20. Acceptance and Handover
A deliverable will normally be considered complete when it substantially meets the agreed project scope.
Before completion, the client will be given a reasonable opportunity to identify material issues or discrepancies against the agreed scope.
Minor amendments, future enhancements and new functionality do not prevent completion where the agreed project has otherwise been delivered.
21. Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation or for death or personal injury caused by negligence.
Subject to the above, BettaSites will not be liable for indirect or consequential loss, loss of profits, loss of anticipated savings, loss of business opportunity or loss arising from services, platforms or systems controlled by third parties.
To the extent permitted by law, BettaSites' total liability arising from a project will not exceed the total fees paid or payable to BettaSites for the services giving rise to the claim.
22. Events Outside Our Control
Neither party will be liable for delay or failure caused by circumstances reasonably outside its control, including widespread internet or hosting outages, failure of third-party platforms, cyber incidents affecting external providers, natural disasters, industrial disputes, governmental actions or other comparable events.
23. Notices
Formal notices relating to the contract may be sent by email or post using the contact details supplied by the parties.
Notices to BettaSites should be sent by email to:
David Savage trading as BettaSites
24. Governing Law
These Terms and any dispute or claim arising from them are governed by the laws of Scotland.
The Scottish courts will have jurisdiction, subject to any mandatory rights or jurisdiction that apply by law.
25. Changes to These Terms
BettaSites may update these Terms from time to time.
The Terms applicable to an individual project will normally be those incorporated into the contract when that project is agreed, unless the parties subsequently agree otherwise in writing.
